These Terms of Service ("Terms") are a legally binding agreement between you ("you") and CariBoard Online ("Company", "we", "us", or "our") regarding your access to and use of the cariboard.com website, applications, and related services (collectively, the "Services"). By accessing or using the Services, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use the Services.
The Company is officially registered in Trinidad and Tobago. These Terms are written to reflect that the primary governing law is Trinidad and Tobago, while recognizing that the Services are used within the Caribbean region.
The Services are an online platform that enables users and organizations to publish information, communicate with others, offer or request goods and services, and manage related activities. The features made available to you may depend on your plan, your permissions, the settings chosen by an organization you interact with, your location, and other factors, and may be added, changed, or removed at any time.
We provide the platform only. Unless explicitly stated in a specific written agreement, we are not a party to transactions, agreements, or disputes between users, and we do not act as an agent, broker, insurer, escrow, or guarantor for any user. When you transact with another user or organization on the Services, your agreement is with that other party.
The Services are intended for use within the Caribbean region. We do not represent that the Services are appropriate or available for use outside the Caribbean. If you access the Services from outside the Caribbean, you do so at your own initiative and are responsible for compliance with your local laws.
You represent that you are at least 18 years old (or the age of majority in your jurisdiction, if higher) and that you have the legal capacity to enter into these Terms.
Supplemental terms, policies, and documents that may be posted on the Services from time to time are incorporated into these Terms by reference. We may update these Terms by updating the "Last updated" date. Your continued use of the Services after changes become effective means you accept the updated Terms.
Unless otherwise indicated, the Services and all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics (collectively, the "Content"), and trademarks/service marks/logos (the "Marks") are owned or controlled by us or licensed to us, and are protected by applicable intellectual property laws.
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal or internal business use, as applicable. All rights not expressly granted are reserved.
Copyright notices. We respect the rights of copyright holders. If you believe that content available on the Services infringes a copyright you own or control, please send a written notice to info@cariboard.com that includes: (i) your name and contact information; (ii) a description of the copyrighted work and of the allegedly infringing material, including a URL or other means of locating it; (iii) a statement that you have a good-faith belief that the use is not authorised; (iv) a statement, made under penalty of perjury, that the information in your notice is accurate and that you are the rights-holder or authorised to act on their behalf; and (v) your physical or electronic signature. We may remove or restrict access to material that is the subject of a valid notice, and we may terminate repeat-infringer accounts.
By using the Services, you represent and warrant that:
You may be required to create an account. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. You must promptly notify us of any unauthorized use or security breach relating to your account.
You may sign in using a supported third-party identity provider. If you do, your use of that provider is subject to their own terms, and we receive the profile information that provider makes available to us.
We may require reasonable verification before taking action on account-related requests, and we may suspend accounts for suspected fraud, abuse, or security risks.
If you create an organization account, you are responsible for the organization's use of the Services, for the actions of its team members, and for having all necessary rights to the content and data it uploads to the Services. Organization owners and administrators can invite members, assign roles and permissions, view activity within the organization, and change organization settings.
If you join an organization as a team member, you understand that the organization's owners and administrators may view activity you perform on behalf of the organization, may remove your access, and may control the content and data associated with the organization. Content and settings created within an organization generally belong to the organization, not to individual members.
Organization accounts may be subject to additional limits, entitlements, or requirements based on their plan.
The Services may allow you to create, submit, post, display, or transmit content and materials ("Contributions"), including listings, messages, reviews, images, and other information. You retain ownership of your Contributions, but you grant us a worldwide, non-exclusive, royalty-free license to host, store, reproduce, modify, display, and distribute your Contributions as necessary to operate, improve, and provide the Services.
You represent that you have all rights needed to submit your Contributions and that your Contributions do not violate any law or infringe any third-party rights.
We do not pre-screen all Contributions. We may remove, restrict, or moderate Contributions at any time for any reason.
If reviews/ratings are available, you agree not to post false, misleading, defamatory, hateful, or abusive reviews, and not to manipulate reviews. We may remove or limit reviews at our discretion.
Organizers may use the Services to list events, issue or distribute tickets, and verify ticket holders. Organizers are solely responsible for their events, including venue, safety, insurance, permits, event content, refund and transfer policies, and for honouring valid tickets.
If you purchase or hold a ticket, you are responsible for keeping it confidential. Tickets may be single-use and, once redeemed or transferred, may no longer be valid for re-use. We may void tickets that appear to be duplicates, fraudulent, or obtained in breach of these Terms or an organizer's rules.
Refunds, exchanges, and transfers are governed by the organizer's policy and by the applicable payment provider's rules. We are not the ticket seller, event organizer, or guarantor of the event.
The Services allow organizations to offer bookings, appointments, products, and services, and allow users to request, schedule, or purchase them. Availability, scheduling windows, prices, deposits, cancellation, and no-show rules are set by the organization that offers them.
When you place a booking, appointment, or order, you are entering into an agreement with that organization, not with CariBoard. You agree to provide accurate information and to honour the terms presented at the time of booking or purchase. Organizations agree to accurately describe their offerings, honour confirmed bookings and orders, and comply with applicable consumer-protection law.
Organizations may post job listings and receive applications, resumes, cover letters, and form responses through the Services. Organizations are responsible for the accuracy of their job listings, for their hiring decisions, and for complying with applicable employment, equal-opportunity, and data-protection laws.
Applicants are responsible for the accuracy of the information they submit. CariBoard does not act as a recruiter, employer, or employment agency, and does not endorse or guarantee any listing or applicant.
If you use the Services to contact, promote to, or otherwise communicate with other people (including through customer-list, bulk-messaging, promotional, or form-based features), you represent and warrant that:
For data you upload about other people (for example, CRM contacts or campaign recipient lists), you act as the controller of that data and we act as a processor on your behalf. We may suspend messaging features or remove content if we reasonably believe they are being used in breach of these Terms or applicable law.
Plans and features. The Services are offered through a combination of free and paid plans, each with different feature allowances and usage limits. We may update plan contents, pricing, and limits from time to time; material changes will apply from the next billing cycle unless otherwise required by law.
Prices and taxes. Prices, supported currencies, billing intervals, and any applicable taxes or processing fees will be presented to you at the time of purchase. You are responsible for any taxes, duties, or similar charges that apply to you.
Renewals and cancellation. Paid plans may renew automatically at the end of each billing interval using the payment method or provider on file, unless you cancel or downgrade before the renewal date. You can manage your plan through your account. Cancelling stops future renewals but does not generally entitle you to a refund of amounts already paid for the current interval.
Third-party payment providers. Payments made through the Services are processed by third-party payment providers that you, an organization, or another user selects from those supported at the time. The set of supported providers may change from time to time. Your use of any such provider is subject to that provider's terms and privacy practices. We do not control and are not responsible for the acts, omissions, or availability of third-party providers.
User-to-user payments. When an organization accepts payments from its customers through the Services, CariBoard acts only as a platform; funds flow through the selected payment provider and are settled to the organization under that provider's terms. We are not an escrow agent, not a party to those transactions, and not responsible for refunds, chargebacks, or disputes between an organization and its customers except as required by law.
Refunds, cancellations, and adjustments (if any) for subscription fees are described at the time of purchase or in the relevant plan terms. Refunds for user-to-user transactions (for example, tickets, bookings, orders, or services) are the responsibility of the organization that received the payment and are subject to their own policies and the relevant payment provider's rules.
Late or failed payments. If a payment fails or is reversed, we may suspend or downgrade access to paid features until the balance is resolved.
Certain features of the Services rely on third-party artificial-intelligence providers to generate suggestions, summaries, or other content based on inputs you provide. The providers we use for this purpose may change from time to time.
AI outputs are generated automatically and may be inaccurate, incomplete, out of date, biased, or otherwise unsuitable for your situation. You should review AI outputs before relying on them and are solely responsible for any decisions you make based on them. AI outputs are not professional advice (including legal, medical, financial, or other regulated advice).
Do not submit content to AI features that you are not authorized to share, that contains sensitive personal information you do not have permission to disclose, or that violates applicable law or third-party rights.
Where we make automated or programmatic access to the Services available to you, your use of that access is subject to these Terms, any additional documentation or terms we provide, and any usage limits that apply to your plan.
You are responsible for keeping any credentials we issue to you confidential and for any activity performed using those credentials. You must not share, sell, or transfer such credentials to unauthorized parties, must not use automated access to circumvent plan limits or otherwise abuse the Services, and must respect any usage limits and fair-use expectations we communicate. We may revoke credentials or restrict access if we reasonably believe they are being used in breach of these Terms or in a manner that harms the Services or other users.
If you install our mobile application, we grant you a limited, non-exclusive, non-transferable, revocable license to use it on devices you own or control, subject to these Terms and any additional terms of the relevant app store or platform. You are responsible for any data or device-carrier charges that apply to your use of the mobile application.
Certain features may request permission to access device capabilities such as your camera, photo library, location, or the ability to send notifications. You can grant or revoke these permissions at any time through your device settings. If you disable a required permission, the related feature may not work.
You agree that we and our providers may send you transactional and service-related notifications (for example, security alerts, booking or order confirmations, and account updates). You may control promotional notifications through your account settings or device settings where available.
You may not use the Services to:
We care about data privacy and security. Please review our Privacy Policy. By using the Services, you agree to be bound by our Privacy Policy, which forms part of these Terms.
The Services may link to or integrate with third-party websites or services. We do not control third parties and are not responsible for their content, availability, or practices.
These Terms remain in effect while you use the Services. We may suspend or terminate your access if we reasonably believe you violated these Terms, pose a risk to the Services or other users, or where required for legal compliance.
We may change, modify, suspend, or discontinue any part of the Services at any time. We do not guarantee uninterrupted availability and are not responsible for downtime, maintenance, or outages caused by third parties or events outside our control.
THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
CariBoard is a platform. We do not guarantee outcomes, results, availability of listings, quality of services offered by users, or that any user will perform as promised. You are responsible for your own due diligence when interacting with other users.
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL WE BE LIABLE FOR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICES.
TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO US FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) TTD $500. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO THESE LIMITS MAY NOT APPLY TO YOU TO THE EXTENT PROHIBITED BY LAW.
Nothing in these Terms is intended to exclude or limit any right, remedy, or protection that cannot be excluded or limited under applicable law, including non-excludable consumer rights under the Consumer Protection and Safety Act, the Sale of Goods Act, the Fair Trading Act, and other mandatory provisions of Trinidad and Tobago law that apply to you.
You agree to defend, indemnify, and hold harmless the Company, its affiliates, and their respective directors, officers, employees, and agents from and against any claims, damages, liabilities, losses, and expenses (including reasonable legal fees) arising out of or relating to your use of the Services, your Contributions, your interactions with other users, or your violation of these Terms or applicable law.
These Terms and any dispute arising out of or relating to the Services are governed by the laws of Trinidad and Tobago, without regard to conflict of laws principles, subject to any mandatory consumer protection laws that apply to you.
Nothing in these Terms limits or excludes any rights you may have under the Data Protection Act or other applicable law in Trinidad and Tobago.
Subject to any mandatory rights you may have under applicable law, you agree that the courts of Trinidad and Tobago will have exclusive jurisdiction to resolve any dispute arising out of or relating to these Terms or the Services.
You consent to receive communications from us electronically and agree that electronic records and signatures satisfy any legal requirements for written communications.
These Terms (together with any policies referenced) constitute the entire agreement between you and us regarding the Services. If any provision is found unenforceable, the remaining provisions will remain in effect. Our failure to enforce any right or provision is not a waiver of such right or provision.
