Terms of Service

CariBoard is a software platform that helps users and organizations publish and manage content such as listings, posts, and profiles, and may offer features like messaging, booking/appointment requests, ticketing/verification, and payment-related workflows. Features may vary over time, may be added/removed, and may depend on your plan, permissions, or your organization settings.

We provide the platform only. Unless explicitly stated in a specific written agreement, we are not a party to transactions, agreements, or disputes between users, and we do not act as an agent, broker, insurer, or guarantor for any user.

The Services are intended for use within the Caribbean region. We do not represent that the Services are appropriate or available for use outside the Caribbean. If you access the Services from outside the Caribbean, you do so at your own initiative and are responsible for compliance with your local laws.

You represent that you are at least 18 years old (or the age of majority in your jurisdiction, if higher) and that you have the legal capacity to enter into these Terms.

Supplemental terms, policies, and documents that may be posted on the Services from time to time are incorporated into these Terms by reference. We may update these Terms by updating the "Last updated" date. Your continued use of the Services after changes become effective means you accept the updated Terms.

Unless otherwise indicated, the Services and all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics (collectively, the "Content"), and trademarks/service marks/logos (the "Marks") are owned or controlled by us or licensed to us, and are protected by applicable intellectual property laws.

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal or internal business use, as applicable. All rights not expressly granted are reserved.

By using the Services, you represent and warrant that:

• the information you provide is true, accurate, current, and complete, and you will keep it updated;
• you will use the Services only for lawful purposes and in accordance with these Terms;
• you will not access the Services through automated or non-human means except where explicitly supported by the Services;
• you will not interfere with security features or attempt unauthorized access to accounts, data, or systems;
• your use will not violate any applicable law or regulation.

You may be required to create an account. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. You must promptly notify us of any unauthorized use or security breach relating to your account.

We may require reasonable verification before taking action on account-related requests, and we may suspend accounts for suspected fraud, abuse, or security risks.

The Services may allow you to create, submit, post, display, or transmit content and materials ("Contributions"), including listings, messages, reviews, images, and other information. You retain ownership of your Contributions, but you grant us a worldwide, non-exclusive, royalty-free license to host, store, reproduce, modify, display, and distribute your Contributions as necessary to operate, improve, and provide the Services.

You represent that you have all rights needed to submit your Contributions and that your Contributions do not violate any law or infringe any third-party rights.

We do not pre-screen all Contributions. We may remove, restrict, or moderate Contributions at any time for any reason.

If reviews/ratings are available, you agree not to post false, misleading, defamatory, hateful, or abusive reviews, and not to manipulate reviews. We may remove or limit reviews at our discretion.

Certain features may be paid. Prices, billing intervals, and any applicable taxes will be presented to you at the time of purchase.

Payments may be processed by third-party payment providers. Your use of third-party providers is subject to their terms and privacy practices.

Refunds, cancellations, and adjustments (if any) are described at the time of purchase or in the relevant plan terms.

You may not use the Services to:

• violate any law or regulation;
• upload or transmit malware, spam, or harmful code;
• scrape, crawl, or harvest data except as expressly allowed;
• attempt to bypass security, access restricted areas, or interfere with system integrity;
• post content that is illegal, infringing, or that violates another person's privacy or rights.

We care about data privacy and security. Please review our Privacy Policy. By using the Services, you agree to be bound by our Privacy Policy, which forms part of these Terms.

The Services may link to or integrate with third-party websites or services. We do not control third parties and are not responsible for their content, availability, or practices.

These Terms remain in effect while you use the Services. We may suspend or terminate your access if we reasonably believe you violated these Terms, pose a risk to the Services or other users, or where required for legal compliance.

We may change, modify, suspend, or discontinue any part of the Services at any time. We do not guarantee uninterrupted availability and are not responsible for downtime, maintenance, or outages caused by third parties or events outside our control.

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

CariBoard is a platform. We do not guarantee outcomes, results, availability of listings, quality of services offered by users, or that any user will perform as promised. You are responsible for your own due diligence when interacting with other users.

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL WE BE LIABLE FOR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICES.

TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO US FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) TTD $500. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO THESE LIMITS MAY NOT APPLY TO YOU TO THE EXTENT PROHIBITED BY LAW.

You agree to defend, indemnify, and hold harmless the Company, its affiliates, and their respective directors, officers, employees, and agents from and against any claims, damages, liabilities, losses, and expenses (including reasonable legal fees) arising out of or relating to your use of the Services, your Contributions, your interactions with other users, or your violation of these Terms or applicable law.

These Terms and any dispute arising out of or relating to the Services are governed by the laws of Trinidad and Tobago, without regard to conflict of laws principles, subject to any mandatory consumer protection laws that apply to you.

Nothing in these Terms limits or excludes any rights you may have under the Data Protection Act or other applicable law in Trinidad and Tobago.

Subject to any mandatory rights you may have under applicable law, you agree that the courts of Trinidad and Tobago will have exclusive jurisdiction to resolve any dispute arising out of or relating to these Terms or the Services.

You consent to receive communications from us electronically and agree that electronic records and signatures satisfy any legal requirements for written communications.

These Terms (together with any policies referenced) constitute the entire agreement between you and us regarding the Services. If any provision is found unenforceable, the remaining provisions will remain in effect. Our failure to enforce any right or provision is not a waiver of such right or provision.
